Otherwise, we will acquire any other financial institution in order to meet the paid-up capital in time,” she added. NRB through the monetary policy of the FY 2072/73 had directed BFIs to raise their paid-up capital to Rs 8 billion by the end of FY 2073/74. For that matter, NRB has encouraged BFIs to adopt merger process. Under the mechanism, NCC Bank, Infrastructure Bank, Apex Development Bank, International Development Bank, Supreme Development Bank and Kumari Bank had agreed to merge with each other on January 13.</p> <p style="text-align:justify">NRB had approved the biggest merger process till date to be finalised at the end of FY 2072/73. However, Kumari Bank at the last moment forfeited the merger process due to its shareholders’ rejection on the merger process through special general meeting (SGM). According to the directors of the bank, Kumari Bank forfeited the merger as the shareholders of the bank didn’t accept the swap ratio decided for the merger.</p> <p style="text-align:justify">Few promoter shareholders of Kumari Bank lobbied against the merger during SGM citing Kumari Bank is better and stronger bank than NCC in terms of paid-up capital, transactions and performance. As per the due diligence audit (DDA) of assets and liabilities of the banks, 100 units of shares of NCC was decided against the same number of shares of Kumari Bank. However, Kumari Bank’s shareholders who opposed the merger argue that as the bank is stronger than NCC, the swap ratio should be decided accordingly. He said “The import of major commodities fell down drastically during that period of time.”</p> <p style="text-align: justify;">The officials of Birgunj Customs Office report that there is a heavy decline in import of vehicles which is listed number one in terms of national revenue contributors. The number of light vehicles also goes down to less than half in the last fiscal year compared to that of previous FY. The vehicles which were used to import through Birgunj checkpoint are shifted to Bhairhawa checkpoint.</p> <p style="text-align: justify;">According to the statistics of Birgunj Customs Office, only 5,171 vehicles under car, jeep, van segment entered Nepal through the customs point in 2015/16 down from 11,698 units in 2014/15. Meanwhile, only 70,518 two-wheelers were imported through the point against 109,435 units. Similarly, the import of vehicles chassis also declined in the review year. Only 4,184 chassis of buses and trucks entered the country through Birgunj customs, down from 4,776 during that period. As per Pokharel, only 764 minibuses entered Nepal against 1,558 during the review period. Likewise, the number of trucks and mini-trucks drops from 2,992 to 1,462 at the same period.</p> <p style="text-align: justify;">There is not only decrease in number of vehicles entering in Nepal but also other major commodities including petroleum products, industrial raw materials, food stuffs etc have also declined during the period. Similarly, it cost Rs 28 to Rs 80 excluding tax if the user buys data package from 10 MB to 10 GB. Since one year Telecom has been providing data package system to its customers.</p> <p style="text-align: justify;">In case of Ncell users, it cost Rs 3 per MB excluding tax to its internet user without using data pack. 5 years back, it was fixed at Rs 6 per MB excluding tax. However, the process could not succeed due to decline of the biggest partner Kumari Bank at the last moment. “Thus, the bank is preparing to meet the minimum paid-up capital through acquiring any other financial institutions in the given time,” said Bandana Pathak, Spokesperson and Deputy General Manager of the bank.</p> <p style="text-align:justify">NCC is also doing homework on meeting paid-up capital through internal process (bonus share and right share). “We will try to our extent to meet the paid-up capital through internal process. Otherwise, we will acquire any other financial institution in order to meet the paid-up capital in time,” she added. NRB through the monetary policy of the FY 2072/73 had directed BFIs to raise their paid-up capital to Rs 8 billion by the end of FY 2073/74. For that matter, NRB has encouraged BFIs to adopt merger process. Under the mechanism, NCC Bank, Infrastructure Bank, Apex Development Bank, International Development Bank, Supreme Development Bank and Kumari Bank had agreed to merge with each other on January 13.</p> <p style="text-align:justify">NRB had approved the biggest merger process till date to be finalised at the end of FY 2072/73. However, Kumari Bank at the last moment forfeited the merger process due to its shareholders’ rejection on the merger process through special general meeting (SGM). The merger process delayed due to the back-off of the bank with the highest paid-up capital in the group. According to the directors of the bank, Kumari Bank forfeited the merger as the shareholders of the bank didn’t accept the swap ratio decided for the merger.</p> <p style="text-align:justify">Few promoter shareholders of Kumari Bank lobbied against the merger during SGM citing Kumari Bank is better and stronger bank than NCC in terms of paid-up capital, transactions and performance. As per the due diligence audit (DDA) of assets and liabilities of the banks, 100 units of shares of NCC was decided against the same number of shares of Kumari Bank. However, Kumari Bank’s shareholders who opposed the merger argue that as the bank is stronger than NCC, the swap ratio should be decided accordingly. The final result of the SGM went in the favour of opposition shareholders and the bank at the end forfeited the merger process. </p> <p style="text-align:justify">Currently, NCC Bank along with five other financial institutions is in the final stage of the merger process. Birgunj checkpoint used to be the busiest checkpoint of Nepal with the highest quantities of commodities being export and import from the point. According to the Birgunj Customs Office, import of ten major commodities that are included in the top contributors of national revenue has declined. “Import has fallen down in FY 2015/16 compared to the previous FY due to six months long Terai unrest and Indian blockade,” said Sewantak Pokharel, Chief Customs Officer. He said “The import of major commodities fell down drastically during that period of time.”</p> <p style="text-align: justify;">The officials of Birgunj Customs Office report that there is a heavy decline in import of vehicles which is listed number one in terms of national revenue contributors. The number of light vehicles also goes down to less than half in the last fiscal year compared to that of previous FY. The vehicles which were used to import through Birgunj checkpoint are shifted to Bhairhawa checkpoint.</p> <p style="text-align: justify;">According to the statistics of Birgunj Customs Office, only 5,171 vehicles under car, jeep, van segment entered Nepal through the customs point in 2015/16 down from 11,698 units in 2014/15. Meanwhile, only 70,518 two-wheelers were imported through the point against 109,435 units. Similarly, the import of vehicles chassis also declined in the review year. Only 4,184 chassis of buses and trucks entered the country through Birgunj customs, down from 4,776 during that period. As per Pokharel, only 764 minibuses entered Nepal against 1,558 during the review period. Likewise, the number of trucks and mini-trucks drops from 2,992 to 1,462 at the same period.</p> <p style="text-align: justify;">There is not only decrease in number of vehicles entering in Nepal but also other major commodities including petroleum products, industrial raw materials, food stuffs etc have also declined during the period. NRB through the monetary policy of the FY 2072/73 had directed BFIs to raise their paid-up capital to Rs 8 billion by the end of FY 2073/74. For that matter, NRB has encouraged BFIs to adopt merger process. Under the mechanism, NCC Bank, Infrastructure Bank, Apex Development Bank, International Development Bank, Supreme Development Bank and Kumari Bank had agreed to merge with each other on January 13.</p> <p style="text-align:justify">NRB had approved the biggest merger process till date to be finalised at the end of FY 2072/73. However, the process could not succeed due to decline of the biggest partner Kumari Bank at the last moment. “Thus, the bank is preparing to meet the minimum paid-up capital through acquiring any other financial institutions in the given time,” said Bandana Pathak, Spokesperson and Deputy General Manager of the bank.</p> <p style="text-align:justify">NCC is also doing homework on meeting paid-up capital through internal process (bonus share and right share). “We will try to our extent to meet the paid-up capital through internal process. Otherwise, we will acquire any other financial institution in order to meet the paid-up capital in time,” she added. NRB through the monetary policy of the FY 2072/73 had directed BFIs to raise their paid-up capital to Rs 8 billion by the end of FY 2073/74. For that matter, NRB has encouraged BFIs to adopt merger process. Under the mechanism, NCC Bank, Infrastructure Bank, Apex Development Bank, International Development Bank, Supreme Development Bank and Kumari Bank had agreed to merge with each other on January 13.</p> <p style="text-align:justify">NRB had approved the biggest merger process till date to be finalised at the end of FY 2072/73. However, Kumari Bank at the last moment forfeited the merger process due to its shareholders’ rejection on the merger process through special general meeting (SGM). The merger process delayed due to the back-off of the bank with the highest paid-up capital in the group. According to the directors of the bank, Kumari Bank forfeited the merger as the shareholders of the bank didn’t accept the swap ratio decided for the merger.</p> <p style="text-align:justify">Few promoter shareholders of Kumari Bank lobbied against the merger during SGM citing Kumari Bank is better and stronger bank than NCC in terms of paid-up capital, transactions and performance. As per the due diligence audit (DDA) of assets and liabilities of the banks, 100 units of shares of NCC was decided against the same number of shares of Kumari Bank. However, Kumari Bank’s shareholders who opposed the merger argue that as the bank is stronger than NCC, the swap ratio should be decided accordingly. The final result of the SGM went in the favour of opposition shareholders and the bank at the end forfeited the merger process. </p> <p style="text-align:justify">Currently, NCC Bank along with five other financial institutions is in the final stage of the merger process. Only 4,184 chassis of buses and trucks entered the country through Birgunj customs, down from 4,776 during that period. Nevertheless, broadband internet which is considered a key factor of a nation's GDP has not expanded as expected. The reason behind increasing number of mobile users are infrastructure development and ease of mobile use. Aryal said that NTA is actively engaged in expanding the broadband connectivity throughout the country. “The tasks of developing broadband internet infrastructures have already been initiated. We can expect quantitative increase in the number of broadband internet users with the development of such infrastructures."</p> <p style="text-align: justify;">Out of mobile data users, 12.74 are GPRS and 3G users, whereas 199,671 are CDMA and EVDO data users. Similarly, 170,701 people use the ADSL service while 47,781 use optical fibre and 9,382 uses PSTN based services. As the micro grids also have surplus capacity, the collaboration contributes to off-grid electrification of communities, creating new economic opportunities and social benefits for the people.</p> <p style="text-align: justify;"><br /> The solar micro-grids are built by Gham Power with financial support from Asian Development Bank Energy for All Program, from the DOEN Foundation. NMB Bank in collaboration with Alternative Energy Promotion Centre also supported the project. GSM Association, in its bid to support installation of micro-grids to provide energy to mobile towers, household and businesses, had also provided ‘Mobile for Development (M4D) Utilities Innovations Grant’ to Gham Power as seed money last year.<br /> <br /> Under the collaboration, Ncell has installed mobile towers in Banpala of Chyasimtar VDC, Khotang and Ghurmi of Lekhani VDC in Udaypur and commenced services. The towers have enabled people in 31 VDCs of Khotang and Udaypur districts to get access to mobile services.<br /> <br /> As per Andras Pali, ICT director of Ncell, the company is trying to create herein win-win for off-grid power solutions for the larger benefit of the rural communities. He said, “While we guarantee anchor load, the company can distribute the surplus energy to communities, making household lighting and productive economic activities possible for the people living around the sites."<br /> <br /> The collaboration marks distinct departure in the way Ncell was handling off-grid base transceiver stations (BTS). So far, the company has been expanding its service to areas out of national grid by building its own solar power. Currently, 5.77% of Ncell sites operates solely on solar, while additional 8.5% have solar back up sites with hybrid solutions.<br /> <br /> “The collaboration offers benefits for both Ncell as well as off-grid power supplier, delivering larger benefits to the society,” said Pali.
