<p>The circumstances have aroused as investors have shifted to banking and finance group after booking profit from insurance and hotel group, opine share analysts.&nbsp; &ldquo;It indicates that investors are gradually maturing on analysis of market scenario and changing/switching portfolios as required,&rdquo; says an analyst.</p>

<p>Shareholders&rsquo; psychology has an important role in the share market. If there is availability of funds in proper interest rate and investors are in high confidence, then it normally does not matter how much the market hits and misses. &ldquo;Commercial investors ignore the height and depth of the market given that the investors consider getting proper return on certain risk,&rdquo; says an investor. The Nepali capital market is experiencing the same, heightening the transaction amount and NEPSE index in daily basis.</p>

<p>Investors claim that NEPSE index will soon reach 2000 points if it continues the same pace. However, some experts point out that condition of economy and pace of the share market contradict each other. According to them, while the country is in stagnation, growth of the share market is unnatural. Recalling the secondary market eight years ago, they say &ldquo;Like that time, NEPSE has high potential of declining or crashing any day.&rdquo;</p>

The two banks signed the agreement amid a program on June 26 in Kathmandu.</p>

<p>According to the agreement, per unit share price of IDB has been set Rs 76 for acquisition. CCBL mentions that though the DDA report has not yet been finalized, the rate will not vary much to the agreement rate. The bank has aimed to complete the acquisition process and start the joint transaction by the end of Poush, 2073. After the acquisition, the paid-up capital of CCBL will reach approximately Rs 4.5 billion to present paid-up capital of Rs 2.84 billion. The bank has already made the plan to issue right shares of Rs 840 million. With the probable contribution of dividend from IDB, the bank will collect approximately Rs 350 million. Currently, the paid-up capital of IDB is Rs 290 million.</p>

<p>&ldquo;The bank is preparing to merge with additional banks in order to meet Rs 8 billion paid-up capital as per the directive of Nepal Rastra Bank,&rdquo; informs CCBL. The bank also confirmed the possibilities of issuing additional right shares. CCBL has collected deposits of Rs 26.1 billion and provided loans of Rs 22.86 billion by the end of Chaitra, 2072. While, IDB has collected Rs 2.19 billion deposits and lend loans of Rs 1.75 billion during the same period. The operating profit of Century Commercial Bank is Rs 340.5 million.</p>

<p>&nbsp;After the acquisition, the number of branches of the bank will reach 40. Innovative is providing its services through nine branches including the central office in Bhairahawa. Similarly, Century bank is providing its services through 31 branches, three extension counters, eight branchless banking service and 29 ATMs. &nbsp;Century bank has invested around Rs 3 billion in various projects in the form of consortium investments. The bank has expected to increase its presence in the rural areas after the acquisition.</p>

<p style="text-align: justify;">&ldquo;Expenses and operation of NRB should be liberal. Though the government should monitor them,&rdquo; says Goma Kunwar, MP from UCPN-Maoist informing proposal registration on the matter. Similarly, on the 41 (c) of prime NRB amendment bill, it has been proposed that the government approval should be made mandatory to allocate net income of NRB. Similarly, certain amount from the income should be enrolled in the government fund. &ldquo;The residual amount from net income of NRB after mandatory deposits and allocations as per the government approval should be enrolled with Nepal government,&rdquo; says amendment bill. NRB has interpreted the proposed mechanism of the bill as lost of autonomy. &nbsp;</p>

<p style="text-align: justify;">According to a source of NRB, it would be difficult to implement the mechanism instantly as NRB will have to take time-to-time approval from the government while issuing monetary tools to manage liquidity. However, stakeholders mention that problems will not be raised as NRB has been given authority of open market transaction in the prime bill. In the prime bill, authorities to issue other tools have been added to operate the open market.</p>

<p style="text-align: justify;">Similarly, MP Kunwar has proposed to add one more deputy governor in the NRB. However, she informed that proposal on separate committee to formulate monetary policy and implementation has not been made. A total of 18 proposals have been submitted to amend NRB bill by MPs including Kunwar, Kafle and Prem Suwal.</p>

<p style="text-align: justify;">Adding a mechanism in the point 106 of the prime bill, proposal has been made to restrict former governors to work in any banks and financial institutions (BFIs) after retirement. Similarly, it has been proposed that deputy governors and executive director of NRB should be barred from joining any BFIs till 7 and 5 years respectively after the end of their tenure.&nbsp;</p>

<p>He mentioned that Sipradi has focused in netwrok expansion across the country. He informed that around 1,500 Tata vehicles are sold monthly in Nepal. &quot; In order to standarised the after sales services, the preparation of mobile training centre is going on,&quot; he said.</p>

<p>According to Bodh Mukhiya, Area Manager of TATA Motors, the brand has been choice of many people due to availability of spear parts in all places and standarised the after sale services. He informed that the company has been introducing new product annually on the demand of customers.</p>

The Lower Modi-2 is being constructed as cascade project of Lower-Modi-1. &nbsp;The company estimates total cost of Rs 1.77 billion for the construction of Lower Modi-2. Apparently, the per mega-watt of electricity will cost Rs 169 million after the construction of the project concludes.</p>

<p><strong>2,800,000 units of Synergy Power</strong></p>

<p>Synergy power is also issuing 2,800,000 units of primary shares for the general public. ICRA Nepal has granted grade 4 rating which indicates of below average fundamentals for the issuance.</p>

<p>Apparently, the company that is operating Siprin Hydroelectric project, is issuing primary shares in order to make payments to bank loans. Began its operation from 2013 January, the company generated electricity for 10 months before the devastating earthquake. The company has claimed Rs 210 million of insurance claims on the earthquake damages. However, surveyors have reported 70-80 percent compensation to the company.</p>

<p><strong>200 percent right shares of Api Power</strong></p>

<p>Api Power Company is issuing 1:2 right shares to its existing shareholders. ICRA Nepal has granted Grade 4 rating for the issuance which indicates of below average fundamentals of the company.</p>

<p>The company is acquiring Siddhakali Power Limited with 80 percent of ownership. The company is issuing the right shares to construct 75MW Trishuli-Galchi project by Siddhakali Power. Presently, the group is operating four projects and additional five projects are under construction.&nbsp;</p>

<p>Shareholders&rsquo; psychology has an important role in the share market. If there is availability of funds in proper interest rate and investors are in high confidence, then it normally does not matter how much the market hits and misses. &ldquo;Commercial investors ignore the height and depth of the market given that the investors consider getting proper return on certain risk,&rdquo; says an investor. The Nepali capital market is experiencing the same, heightening the transaction amount and NEPSE index in daily basis.</p>

<p>Investors claim that NEPSE index will soon reach 2000 points if it continues the same pace. However, some experts point out that condition of economy and pace of the share market contradict each other. According to them, while the country is in stagnation, growth of the share market is unnatural. Recalling the secondary market eight years ago, they say &ldquo;Like that time, NEPSE has high potential of declining or crashing any day.&rdquo;</p>

<p>According to the agreement, per unit share price of IDB has been set Rs 76 for acquisition. CCBL mentions that though the DDA report has not yet been finalized, the rate will not vary much to the agreement rate. The bank has aimed to complete the acquisition process and start the joint transaction by the end of Poush, 2073. After the acquisition, the paid-up capital of CCBL will reach approximately Rs 4.5 billion to present paid-up capital of Rs 2.84 billion. The bank has already made the plan to issue right shares of Rs 840 million. With the probable contribution of dividend from IDB, the bank will collect approximately Rs 350 million. Currently, the paid-up capital of IDB is Rs 290 million.</p>

<p>&ldquo;The bank is preparing to merge with additional banks in order to meet Rs 8 billion paid-up capital as per the directive of Nepal Rastra Bank,&rdquo; informs CCBL. The bank also confirmed the possibilities of issuing additional right shares. CCBL has collected deposits of Rs 26.1 billion and provided loans of Rs 22.86 billion by the end of Chaitra, 2072. While, IDB has collected Rs 2.19 billion deposits and lend loans of Rs 1.75 billion during the same period. The operating profit of Century Commercial Bank is Rs 340.5 million.</p>

<p>&nbsp;After the acquisition, the number of branches of the bank will reach 40. Innovative is providing its services through nine branches including the central office in Bhairahawa. Similarly, Century bank is providing its services through 31 branches, three extension counters, eight branchless banking service and 29 ATMs. &nbsp;Century bank has invested around Rs 3 billion in various projects in the form of consortium investments. The bank has expected to increase its presence in the rural areas after the acquisition.</p>

<p style="text-align: justify;">&ldquo;Expenses and operation of NRB should be liberal. Though the government should monitor them,&rdquo; says Goma Kunwar, MP from UCPN-Maoist informing proposal registration on the matter. Similarly, on the 41 (c) of prime NRB amendment bill, it has been proposed that the government approval should be made mandatory to allocate net income of NRB. Similarly, certain amount from the income should be enrolled in the government fund. &ldquo;The residual amount from net income of NRB after mandatory deposits and allocations as per the government approval should be enrolled with Nepal government,&rdquo; says amendment bill. NRB has interpreted the proposed mechanism of the bill as lost of autonomy. &nbsp;</p>

<p style="text-align: justify;">According to a source of NRB, it would be difficult to implement the mechanism instantly as NRB will have to take time-to-time approval from the government while issuing monetary tools to manage liquidity. However, stakeholders mention that problems will not be raised as NRB has been given authority of open market transaction in the prime bill. In the prime bill, authorities to issue other tools have been added to operate the open market.</p>

<p style="text-align: justify;">Similarly, MP Kunwar has proposed to add one more deputy governor in the NRB. However, she informed that proposal on separate committee to formulate monetary policy and implementation has not been made. A total of 18 proposals have been submitted to amend NRB bill by MPs including Kunwar, Kafle and Prem Suwal.</p>

<p style="text-align: justify;">Adding a mechanism in the point 106 of the prime bill, proposal has been made to restrict former governors to work in any banks and financial institutions (BFIs) after retirement. Similarly, it has been proposed that deputy governors and executive director of NRB should be barred from joining any BFIs till 7 and 5 years respectively after the end of their tenure.&nbsp;</p>

The Lower Modi-2 is being constructed as cascade project of Lower-Modi-1. &nbsp;The company estimates total cost of Rs 1.77 billion for the construction of Lower Modi-2. Apparently, the per mega-watt of electricity will cost Rs 169 million after the construction of the project concludes.</p>

<p><strong>2,800,000 units of Synergy Power</strong></p>

<p>Synergy power is also issuing 2,800,000 units of primary shares for the general public. ICRA Nepal has granted grade 4 rating which indicates of below average fundamentals for the issuance.</p>

<p>Apparently, the company that is operating Siprin Hydroelectric project, is issuing primary shares in order to make payments to bank loans. Began its operation from 2013 January, the company generated electricity for 10 months before the devastating earthquake. The company has claimed Rs 210 million of insurance claims on the earthquake damages. However, surveyors have reported 70-80 percent compensation to the company.</p>

<p><strong>200 percent right shares of Api Power</strong></p>

<p>Api Power Company is issuing 1:2 right shares to its existing shareholders. ICRA Nepal has granted Grade 4 rating for the issuance which indicates of below average fundamentals of the company.</p>

<p>The company is acquiring Siddhakali Power Limited with 80 percent of ownership. The company is issuing the right shares to construct 75MW Trishuli-Galchi project by Siddhakali Power. Presently, the group is operating four projects and additional five projects are under construction.&nbsp;</p>

<p>The circumstances have aroused as investors have shifted to banking and finance group after booking profit from insurance and hotel group, opine share analysts.&nbsp; &ldquo;It indicates that investors are gradually maturing on analysis of market scenario and changing/switching portfolios as required,&rdquo; says an analyst.</p>

<p>Shareholders&rsquo; psychology has an important role in the share market. According to them, while the country is in stagnation, growth of the share market is unnatural. <p>According to the agreement, per unit share price of IDB has been set Rs 76 for acquisition. CCBL mentions that though the DDA report has not yet been finalized, the rate will not vary much to the agreement rate. The bank has aimed to complete the acquisition process and start the joint transaction by the end of Poush, 2073. After the acquisition, the paid-up capital of CCBL will reach approximately Rs 4.5 billion to present paid-up capital of Rs 2.84 billion. The bank has already made the plan to issue right shares of Rs 840 million. With the probable contribution of dividend from IDB, the bank will collect approximately Rs 350 million. Currently, the paid-up capital of IDB is Rs 290 million.</p>

<p>&ldquo;The bank is preparing to merge with additional banks in order to meet Rs 8 billion paid-up capital as per the directive of Nepal Rastra Bank,&rdquo; informs CCBL. The bank also confirmed the possibilities of issuing additional right shares. CCBL has collected deposits of Rs 26.1 billion and provided loans of Rs 22.86 billion by the end of Chaitra, 2072. While, IDB has collected Rs 2.19 billion deposits and lend loans of Rs 1.75 billion during the same period. The operating profit of Century Commercial Bank is Rs 340.5 million.</p>

<p>&nbsp;After the acquisition, the number of branches of the bank will reach 40. Innovative is providing its services through nine branches including the central office in Bhairahawa. Similarly, Century bank is providing its services through 31 branches, three extension counters, eight branchless banking service and 29 ATMs. &nbsp;Century bank has invested around Rs 3 billion in various projects in the form of consortium investments. The bank has expected to increase its presence in the rural areas after the acquisition.</p>

Though the government should monitor them,&rdquo; says Goma Kunwar, MP from UCPN-Maoist informing proposal registration on the matter. Similarly, on the 41 (c) of prime NRB amendment bill, it has been proposed that the government approval should be made mandatory to allocate net income of NRB. Similarly, certain amount from the income should be enrolled in the government fund. &ldquo;The residual amount from net income of NRB after mandatory deposits and allocations as per the government approval should be enrolled with Nepal government,&rdquo; says amendment bill. NRB has interpreted the proposed mechanism of the bill as lost of autonomy. &nbsp;</p>

<p style="text-align: justify;">According to a source of NRB, it would be difficult to implement the mechanism instantly as NRB will have to take time-to-time approval from the government while issuing monetary tools to manage liquidity. However, stakeholders mention that problems will not be raised as NRB has been given authority of open market transaction in the prime bill. In the prime bill, authorities to issue other tools have been added to operate the open market.</p>

<p style="text-align: justify;">Similarly, MP Kunwar has proposed to add one more deputy governor in the NRB. However, she informed that proposal on separate committee to formulate monetary policy and implementation has not been made. A total of 18 proposals have been submitted to amend NRB bill by MPs including Kunwar, Kafle and Prem Suwal.</p>

<p style="text-align: justify;">Adding a mechanism in the point 106 of the prime bill, proposal has been made to restrict former governors to work in any banks and financial institutions (BFIs) after retirement. Similarly, it has been proposed that deputy governors and executive director of NRB should be barred from joining any BFIs till 7 and 5 years respectively after the end of their tenure.&nbsp;</p>

<p>Synergy power is also issuing 2,800,000 units of primary shares for the general public. ICRA Nepal has granted grade 4 rating which indicates of below average fundamentals for the issuance.</p>

<p>Apparently, the company that is operating Siprin Hydroelectric project, is issuing primary shares in order to make payments to bank loans. Began its operation from 2013 January, the company generated electricity for 10 months before the devastating earthquake. The company has claimed Rs 210 million of insurance claims on the earthquake damages. However, surveyors have reported 70-80 percent compensation to the company.</p>

<p>Shareholders&rsquo; psychology has an important role in the share market. If there is availability of funds in proper interest rate and investors are in high confidence, then it normally does not matter how much the market hits and misses. &ldquo;Commercial investors ignore the height and depth of the market given that the investors consider getting proper return on certain risk,&rdquo; says an investor. The Nepali capital market is experiencing the same, heightening the transaction amount and NEPSE index in daily basis.</p>

<p>Investors claim that NEPSE index will soon reach 2000 points if it continues the same pace. However, some experts point out that condition of economy and pace of the share market contradict each other. According to them, while the country is in stagnation, growth of the share market is unnatural. Recalling the secondary market eight years ago, they say &ldquo;Like that time, NEPSE has high potential of declining or crashing any day.&rdquo;</p>

<p>According to the agreement, per unit share price of IDB has been set Rs 76 for acquisition. CCBL mentions that though the DDA report has not yet been finalized, the rate will not vary much to the agreement rate. The bank has aimed to complete the acquisition process and start the joint transaction by the end of Poush, 2073. After the acquisition, the paid-up capital of CCBL will reach approximately Rs 4.5 billion to present paid-up capital of Rs 2.84 billion. The bank has already made the plan to issue right shares of Rs 840 million. With the probable contribution of dividend from IDB, the bank will collect approximately Rs 350 million. Currently, the paid-up capital of IDB is Rs 290 million.</p>

<p>&ldquo;The bank is preparing to merge with additional banks in order to meet Rs 8 billion paid-up capital as per the directive of Nepal Rastra Bank,&rdquo; informs CCBL. The bank also confirmed the possibilities of issuing additional right shares. CCBL has collected deposits of Rs 26.1 billion and provided loans of Rs 22.86 billion by the end of Chaitra, 2072. While, IDB has collected Rs 2.19 billion deposits and lend loans of Rs 1.75 billion during the same period. The operating profit of Century Commercial Bank is Rs 340.5 million.</p>

<p>&nbsp;After the acquisition, the number of branches of the bank will reach 40. Innovative is providing its services through nine branches including the central office in Bhairahawa. Similarly, Century bank is providing its services through 31 branches, three extension counters, eight branchless banking service and 29 ATMs. &nbsp;Century bank has invested around Rs 3 billion in various projects in the form of consortium investments. The bank has expected to increase its presence in the rural areas after the acquisition.</p>

Though the government should monitor them,&rdquo; says Goma Kunwar, MP from UCPN-Maoist informing proposal registration on the matter. Similarly, on the 41 (c) of prime NRB amendment bill, it has been proposed that the government approval should be made mandatory to allocate net income of NRB. Similarly, certain amount from the income should be enrolled in the government fund. &ldquo;The residual amount from net income of NRB after mandatory deposits and allocations as per the government approval should be enrolled with Nepal government,&rdquo; says amendment bill. NRB has interpreted the proposed mechanism of the bill as lost of autonomy. &nbsp;</p>

<p style="text-align: justify;">According to a source of NRB, it would be difficult to implement the mechanism instantly as NRB will have to take time-to-time approval from the government while issuing monetary tools to manage liquidity. However, stakeholders mention that problems will not be raised as NRB has been given authority of open market transaction in the prime bill. In the prime bill, authorities to issue other tools have been added to operate the open market.</p>

<p style="text-align: justify;">Similarly, MP Kunwar has proposed to add one more deputy governor in the NRB. However, she informed that proposal on separate committee to formulate monetary policy and implementation has not been made. A total of 18 proposals have been submitted to amend NRB bill by MPs including Kunwar, Kafle and Prem Suwal.</p>

<p style="text-align: justify;">Adding a mechanism in the point 106 of the prime bill, proposal has been made to restrict former governors to work in any banks and financial institutions (BFIs) after retirement. Similarly, it has been proposed that deputy governors and executive director of NRB should be barred from joining any BFIs till 7 and 5 years respectively after the end of their tenure.&nbsp;</p>

The showroom was inagurated by Rajan Babu Shrestha, CEO of Sipradi Trading. Speaking on the occassion, Shrestha said,&quot; Tata vehicles are very popular in the Nepali market. I believe Tata vehicleas will be sold in large number in tourist hub Pokhara with the opening of the exclusive outlet.&quot;</p>

<p>He mentioned that Sipradi has focused in netwrok expansion across the country. The company has spend around&nbsp; Rs 800 million in network expansion this year only and will be investing around Rs 600 to 700 million in the upcoming year. He informed that around 1,500 Tata vehicles are sold monthly in Nepal. &quot; In order to standarised the after sales services, the preparation of mobile training centre is going on,&quot; he said.</p>

<p>According to Bodh Mukhiya, Area Manager of TATA Motors, the brand has been choice of many people due to availability of spear parts in all places and standarised the after sale services. He informed that the company has been introducing new product annually on the demand of customers.</p>

SEBON conducted the visit with an aim to provide Nepali merchant bankers an overview about the operation of merchant banks and their operational area of the developed country. &nbsp;The visit was conducted in the support of Securities Commission and Securities Industry Development Cooperation. The visiting team made the visit to Bursa Stock Exchange and Kenanga Investment Bank.</p>

<p style="text-align: justify;">The visit program which was held in the conveyership of Binaya Dev Acharya, Director of SEBON included Pravin Raman Parajuli, Chairman of Nepal Merchant Banker, 15 merchant entrepreneurs and Baikuntha Nidhi, Under Secretary of Ministry of Finance.</p>

<p style="text-align: justify;">The program held the presentation of different worksheets concentrating in different areas like the present situation of Malaysian Securities Board, approval process of Merchant Banks and their operation areas. In the visit, information about the ownership structure, transaction procedures and investor training system of the Bursa Malaysia was also provided.&nbsp; According to the merchant bankers, they got the additional knowledge on the Securities market, transaction system and new operation area related to merchant banking during the visit. Similarly, they also informed that they got the chance to develop the relation with the related securities market, merchant bankers and stock exchange.</p>

<p style="text-align: justify;">SEBON has expected that the exposure visit to the Malaysian merchant bank and securities market will bring improvement in merchant banking service in Nepal, their operation and commercialization as well as in the expansion of operation areas of Merchant Banks.</p>

<p><strong>2,875,000 units of United Modi </strong></p>

<p>United Modi Hydropower is issuing 2,875,000 units of primary shares worth above Rs 280 million for the general public. The company has already obtained ICRA grading of 3 from ICRA Nepal for the issue. Priced at Rs 100, the company has allocated 1150,000 units of shares for local people of affected area. Remaining shares will be allocated to general public, mutual funds and general public. The company, operating 9.9MW Lower Modi-1, is constructing 10.5MW lower modi-2. The Lower Modi-2 is being constructed as cascade project of Lower-Modi-1. &nbsp;The company estimates total cost of Rs 1.77 billion for the construction of Lower Modi-2. Apparently, the per mega-watt of electricity will cost Rs 169 million after the construction of the project concludes.</p>

<p><strong>2,800,000 units of Synergy Power</strong></p>

<p>Synergy power is also issuing 2,800,000 units of primary shares for the general public. ICRA Nepal has granted grade 4 rating which indicates of below average fundamentals for the issuance.</p>

<p>Apparently, the company that is operating Siprin Hydroelectric project, is issuing primary shares in order to make payments to bank loans. Began its operation from 2013 January, the company generated electricity for 10 months before the devastating earthquake. The company has claimed Rs 210 million of insurance claims on the earthquake damages. However, surveyors have reported 70-80 percent compensation to the company.</p>

<p><strong>200 percent right shares of Api Power</strong></p>

<p>Api Power Company is issuing 1:2 right shares to its existing shareholders. ICRA Nepal has granted Grade 4 rating for the issuance which indicates of below average fundamentals of the company.</p>

<p>The company is acquiring Siddhakali Power Limited with 80 percent of ownership. The company is issuing the right shares to construct 75MW Trishuli-Galchi project by Siddhakali Power. Presently, the group is operating four projects and additional five projects are under construction.&nbsp;</p>
